General Terms and Conditions (AGB)

Legal notice: This is an English translation of the German "Allgemeine Geschäftsbedingungen (AGB)" provided for informational purposes only. Only the German version (AGB) is legally binding. In case of any discrepancy between this translation and the German original, the German version shall prevail.

1. Scope and Contracting Party
1.1 Provider
These General Terms and Conditions (AGB) apply to all contracts for services provided by

1.2 Customer
A customer within the meaning of these Terms is any business (service provider, trade company, etc.) that books a paid listing on the platform amtsguide.de.
1.3 Applicability
These Terms apply exclusively. Deviating terms of the customer are not recognised unless we expressly agree to their applicability in writing.
2. Service Description
2.1 Platform
AmtsGuide operates an online platform (amtsguide.de) that provides end users with information about administrative processes in German cities and lists service providers (customers) in a supplier directory.
2.2 District-Based Listings
Customers can book paid listings in one or more districts. A listing includes:
- Basic Listing: Listed as a paid provider with standard display
- Premium Listing: Highlighted display with logo and extended information
- Featured Listing: Top placement with maximum visibility and all features
2.3 Scope of Service
The listing includes:
- Listing on the district-specific page (e.g. /de/berlin/halteverbot/mitte/)
- Display with company name, contact details, logo (depending on package)
- Clickable link to the company website (with tracking)
- Access to the customer portal with click statistics
- Monthly performance report by email
2.4 Capacity Limit
A maximum of 4 paid listings are available per district and topic (Sponsor + Featured). Bookings are processed by availability and payment receipt ("First come, first served").
3. Conclusion of Contract
3.1 Offer and Acceptance
By completing and submitting the booking form or placing a written order, the customer makes a binding offer to conclude a listing contract.
We may accept the offer within 7 days by written order confirmation (also by email) or by activating the listing.
3.2 Contract Duration
Listing contracts are concluded for:
- Monthly: Term of 1 month, automatic renewal for 1 month each
- Annual: Term of 12 months, automatic renewal for 12 months each
unless terminated with a notice period of 4 weeks to the end of the month (monthly) or 3 months to the end of the term (annual).
4. Prices and Payment
4.1 Prices
The prices stated on the website or in the order confirmation at the time of booking apply. All prices are net prices plus statutory VAT.
Current packages (example):
- Basic: EUR 29/month per district
- Premium: EUR 79/month per district
- Featured: EUR 149/month per district
Prices may be adjusted with reasonable notice (at least 4 weeks).
4.2 Payment Terms
Invoices are due within 14 days of the invoice date without deduction.
Payment methods:
- SEPA direct debit (preferred for subscriptions)
- Bank transfer
- Credit card (via payment provider)
For SEPA direct debit, the amount is collected at the beginning of each month.
4.3 Late Payment
In the event of late payment, we are entitled to:
- Charge default interest at a rate of 9 percentage points above the base interest rate
- Pause or remove the listing
- Block access to the customer portal
- Terminate the contract without notice
5. Customer Obligations
5.1 Duty to Inform
The customer undertakes to:
- Provide truthful and complete information
- Notify changes to contact details without delay
- Provide a valid email address for invoicing
5.2 Legality
The customer warrants that:
- They are authorised to provide the advertised services
- All necessary permits and licences are in place
- The services are provided in compliance with the law
5.3 Logos and Trademarks
When using logos, the customer warrants that they are authorised to use them and that no third-party rights are infringed.
6. Our Obligations and Services
6.1 Availability
We aim for a platform availability of 99% on an annual average. Excluded are maintenance work (announced) and force majeure.
6.2 No Success Guarantee
We do not guarantee a specific number of clicks, enquiries, or orders. The listing serves solely for visibility, not for sales success.
6.3 Click Statistics
We provide the customer with the following statistics via the customer portal:
- Number of clicks per month
- Distribution by district
- Trend over time (30 days)
- Top pages
Statistics are compiled to the best of our knowledge; we do not guarantee absolute accuracy.
7. Termination
7.1 Ordinary Termination
The contract may be terminated by either party:
- Monthly contracts: With 4 weeks' notice to the end of the month
- Annual contracts: With 3 months' notice to the end of the term
Termination must be in text form (email is sufficient).
7.2 Extraordinary Termination
The right to extraordinary termination for good cause remains unaffected.
Good cause exists in particular in the following cases:
For us:
- Late payment of more than 14 days
- Breach of these Terms
- Legal violations by the customer
- Insolvency of the customer
For the customer:
- Platform unavailability for more than 7 consecutive days
- Serious breach of contract on our part
7.3 Grace Period
In the event of late payment or contract expiry, we generally grant a grace period of 72 hours during which the listing remains visible.
8. Right of Withdrawal for Consumers
Important: These Terms are primarily directed at businesses (B2B).
Should a consumer (private individual) book a listing, the statutory right of withdrawal of 14 days applies.
Withdrawal Policy
You have the right to withdraw from this contract within 14 days without giving reasons.
The withdrawal period is 14 days from the date of conclusion of the contract.
To exercise your right of withdrawal, you must inform us (Blinktank GmbH, Haupstr. 5L, 10317 Berlin) by means of a clear statement (e.g. email) of your decision to withdraw from the contract.
Consequences of Withdrawal
If you withdraw from this contract, we shall reimburse all payments received from you without delay and no later than within 14 days.
Early Performance: If you expressly request that the service begins immediately, your right of withdrawal expires upon full performance of the contract.
9. Liability
9.1 Limitation of Liability
We are liable without limitation for intent and gross negligence, as well as for damages resulting from injury to life, body, or health.
For slight negligence, we are only liable for breach of essential contractual obligations (cardinal obligations). In this case, liability is limited in amount to the foreseeable, typically occurring damage at the time of conclusion of the contract.
9.2 Data Loss
Liability for data loss is limited to the typical recovery effort that would have been incurred if backup copies had been made regularly and in accordance with the risk.
9.3 Force Majeure
We are not liable for impossibility of performance or delays caused by force majeure or other events that were not foreseeable at the time of conclusion of the contract.
10. Data Protection
The processing of personal data is carried out in accordance with our privacy policy (see /en/legal/privacy/).
The provisions of the GDPR apply to the processing of customer data (billing address, contact person, etc.).
11. Intellectual Property
11.1 Platform Content
All content of the platform (texts, graphics, logos, design) is protected by copyright and is the property of Blinktank GmbH or licensed.
11.2 Customer Content
The customer grants us the right to use and publish the content provided by them (logo, company name, description) on the platform.
The customer warrants that they are authorised to transfer these rights.
12. Final Provisions
12.1 Amendments to the Terms
We reserve the right to amend these Terms with a notice period of 4 weeks. If the customer does not object to the applicability of the new Terms within 4 weeks of receiving the notification of changes, the amended Terms shall be deemed accepted.
In the event of an objection, either party is entitled to terminate the contract.
12.2 Severability Clause
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
12.3 Applicable Law
German law applies, excluding the UN Convention on the International Sale of Goods (CISG).
12.4 Place of Jurisdiction
If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contractual relationship is Berlin.
12.5 Written Form
Amendments or additions to this contract require written form. This also applies to the amendment of this written form clause itself. Emails satisfy the written form requirement if sent by an authorised person.
